Bylaws

FRIENDS OF THE CORNETTE LIBRARY

I. CONSTITUTION

ARTICLE I. NAME.

The name of this organization shall be the Friends of the Cornette Library (Friends).

 

ARTICLE II. SPONSORING AGENCY.

The Friends is affiliated with the non-profit West Texas A&M University Foundation. Contributions to the Friends are tax-deductible to the extent allowed by law.

 

ARTICLE III. PURPOSE.

The purpose of the Friends shall be to enrich the holdings of the Cornette Library by gifts, bequests and endowments, and to assist in making the Library a cultural and educational center of the West Texas A&M University campus.

 

ARTICLE IV. MEMBERSHIP.

Membership shall be open to any individual or to any group in sympathy with the stated purpose.

 

ARTICLE V. ADMINISTRATION.

The governing body of the Friends shall be the Board of Directors.

 

ARTICLE VI. MEETINGS.

There shall be an annual meeting of the Friends. Special meetings may be called, as provided for in the Bylaws.

 

ARTICLE VII. FUNDS.

All monetary contributions, including dues, shall be deposited by the treasurer in the Friends accounts of the West Texas A&M University Foundation. These funds may be disbursed at the discretion of the Director of Cornette Library consistent with the purpose stated above.

 

ARTICLE VIII. AMENDMENTS.

This Constitution may be amended at any scheduled meeting, provided that the membership has been given a ten-day notification by mail of the proposed amendment and meeting, and provided that the measure is passed by two-thirds of those present and voting.

 

 

II. BYLAWS

ARTICLE I. MEMBERSHIP.
Section 1.

The membership year shall begin September 1 and end August 31.

Section 2.

Membership in the Friends shall be open to all individuals, organizations, and businesses upon the payment of dues.

Section 3.

There shall be, as stated in the Standing Rules, categories of membership that are determined by the Board of Directors.

Section 4.

Each member, organization, and business shall have one vote.

Section 5.

Exceptional generosity or service may be acknowledged by the Board of Directors with an award.

 

 

ARTICLE II. BOARD OF DIRECTORS.

The Board of Directors shall consist of the four officers, nine Ex-Officio Members (four of whom are Professional Associates), and eight Members-At-Large whose terms shall be for two years. The nine Ex-Officio members shall be: WTAMU Provost/Vice President for Academic Affairs, Director of the Cornette Library, a representative from the WTAMU Foundation, a WTAMU student, the immediate Past-Chairman of the Friends, and four Professional Associates (Director of the Amarillo Public Library, Director of the Lynn Library at Amarillo College, AISD Library Coordinator, and Director of the Canyon Public Library). All Board Members except Ex-Officio Members, current WTAMU library staff, and current WTAMU faculty shall pay annual membership dues.

 

ARTICLE III. OFFICERS.
Section 1. Officers.

The officers of the Friends shall be a Chairman, a Vice-Chairman, a Secretary, and a Treasurer. The Chairman, Vice-chairman, and Treasurer shall be elected by the majority of the membership present and voting at the Annual Meeting. The Secretary and the Treasurer shall be appointed from members of the Cornette Library staff, by the Director of Cornette Library. The Director of Cornette Library or designee, shall be an Ex-Officio Member of the Board. The Chairman shall have been a Board Member of the Friends for one year prior to election.

Section 2. Duties.

Officers’ duties are defined in the Standing Rules of the organization. The direction of affairs of the Friends shall rest with the Board of Directors who will meet at the call of the Chairman. A majority of the Board shall constitute a quorum.

Section 3. Elections.

The Chairman, the Vice-Chairman, and Members-at-Large shall be elected at the Annual Meeting.

Section 4. Tenure.

Elected officers shall serve a one-year term, effective from their election at the Annual Meeting, which will occur no later than September 30. Their term will expire the following year on the date of the Annual Meeting.

Section 5. Nomination of Officers.

Nominations shall be presented by the Nominating Committee at the Annual Meeting. Nominations may also be made from the floor.

 

 

ARTICLE IV. COMMITTEES
Section 1. Executive Committee.

The Executive Committee shall be composed of the Chairman, Vice Chairman, Secretary, Treasurer, and Director of Cornette Library (Ex-Officio Member). The Executive Committee may act in the name of the Board of Directors when action is required prior to the next scheduled Board Meeting.

Section 2. Nominating.

The Nominating Committee shall be appointed by the Chairman and shall consist of three members, plus the Director of Cornette Library (Ex-Officio Member).

Section 3.

The Chairman may appoint committees. The Chairman and the Director of Cornette Library shall be an Ex-Officio Member of each committee.

 

 

ARTICLE V. MEETINGS.
Section 1.

The Friends shall have an annual meeting.

Section 2.

Special meetings may be called by the Board of Directors provided that the membership has been given a ten-day notification by mail.

Section 3.

A quorum shall consist of ten percent of the membership.

 

 

ARTICLE VI. AMENDMENTS.

These Bylaws may be amended at any scheduled meeting, provided that the membership has been given a ten-day notification by mail of the proposed amendment and meeting, and provided that the measure is passed by two-thirds of those present and voting.

 

 

ARTICLE VII. PARLIAMENTARY PROCEDURE.

Procedure shall be based on the current edition of Robert's Rules of Order, Newly Revised, when not in conflict with these Bylaws.

 

 

ARTICLE VIII. DISSOLUTION.

Upon dissolution, all assets of the Friends shall be given to the Cornette Library, the institution for whose benefit the organization was established.
